Introuction

These Website Terms and Conditions, found on this webpage, form a legal agreement between you (referred to as 'you' or 'prospective customer') and EverTry Limited (referred to as 'EverTry,' 'we,' 'our,' or 'us'). These terms regulate your use of EverTry's services, which encompass all content and features on the EverTry website, mobile applications, and other related products and services collectively referred to as the 'Services.'

These Terms are important for your use of the Services. When you use any of the Services, you agree to all the terms and conditions here, including our Privacy Policy. If you disagree with any of these Terms, please do not use the Services.

PLEASE READ AND UNDERSTAND THE TERMS OF AGREEMENT CAREFULLY BEFORE AGREEING TO BE BOUND BY ITS TERMS.

Governing Language

We will use English as the main language for all communication between EverTry and you, including these terms.

Information Security and Warranty Disclaimer

EverTry is dedicated to maintaining the website's availability and ensuring its freedom from bugs. Nevertheless, its usage is at your own risk.

We present all materials "as is" with no warranties, whether expressed or implied, of any kind. We explicitly disclaim all warranties and conditions, including but not limited to any implied warranties or conditions of merchantability, fitness for a particular purpose, availability, security, title, and non-infringement of intellectual property rights.

To elaborate further, EverTry makes no warranties regarding our website and services' ability to meet your specific requirements or to remain uninterrupted, bug-free, accurate, or error-free.

It is important to emphasize that your utilization of our services comes with inherent risks, and you bear sole responsibility for any data loss or damage to your computer system resulting from such use. Please be advised that no advice or information, whether oral or written, obtained from our website or our services, shall establish any warranty or condition that is not expressly outlined herein.

Acceptance of Terms

By using EverTry's virtual card services ("Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Description of Services

EverTry provides virtual Mastercard services that enable users to make online payments and transactions. We do not provide banking services, and our virtual cards are solely for online purchases.

Age Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement to use our Services. By using EverTry, you confirm that you meet these eligibility requirements.

Card Termination Policy Due to Insufficient Balance

At EverTry, we aim to provide a seamless experience for all our customers. However, when transactions fail due to insufficient funds, specific rules apply based on the card type:

MasterCard:

If a transaction fails due to insufficient balance on a MasterCard, the card will be terminated immediately.

Visa Card:

If a transaction fails due to insufficient balance three times within one month on a Visa card, the card will be terminated immediately.

Termination Fee:

When a card is terminated due to insufficient balance, a fee of $1.71 will be charged to the account. Any remaining funds on a terminated card will be returned to the customer's wallet.

The card needs to keep at least $2 in it to stay active and avoid termination. We encourage customers to ensure their cards are adequately funded before making transactions to avoid interruptions or fees.

Cross-Border Fee:

When a card is used for international transactions across different regions or currencies, a cross-border fee will be charged to the card or wallet. These fees include a 2.5% currency conversion charge and a $0.50 settlement fee per transaction.

User Account

To use our Services, you may need to create a user account. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted through your account.

How and Why We Collect Personal Information

To provide you with the Services offered by EverTry, we need to collect and process certain personal information about you. We are committed to protecting the confidentiality, integrity, and security of your personal data in line with applicable data protection laws.

This Notice forms an essential part of this Agreement and should be read alongside it.

By using EverTry and entering into this Agreement, you give us permission to collect, process, and store your personal information for purposes related to delivering, managing, and improving our Services. This includes activities required to perform our contractual obligations and comply with any legal requirements that apply to us.

We fully respect your rights under data protection law. You may, at any time, withdraw your consent, request access to the personal data we hold about you, ask for corrections or deletion, restrict how your data is used, object to certain processing activities, or exercise your right to data portability—subject to the conditions set out in applicable laws.

By agreeing to these terms, you acknowledge and consent to EverTry handling your personal information as described. This does not affect any rights or obligations you have under data protection regulations.

Unauthorised Transactions/Payments

If you believe an unauthorised transaction has been made from your EverTry account, you must notify us immediately through the EverTry app (and no later than 12 months from the date the funds were taken). We will refund the amount to your account if:

1. You could not reasonably have known that your security credentials were at risk of being misused;
2. The unauthorised payment resulted from an error made by EverTry or one of our service providers.
3. The transaction occurred after you informed us that your security details were compromised, or if we failed to provide a means for you to report such a compromise; or

The law required us to follow certain verification steps when you authorised the payment, and we did not comply with those requirements.

We will also refund any fees or charges incurred as a result of the unauthorised payment.

We will not issue a refund if you acted fraudulently, or if you intentionally or negligently failed to keep your security details safe (unless you reported the risk to us before the payment occurred). For example, we will not refund you if you shared your PIN, password, or card details with someone who then used your EverTry wallet or card without your permission.

Fees and Payments

Fees associated with EverTry's Services are subject to change and will be clearly communicated to users. You agree to pay all applicable fees associated with your use of our Services. Failure to pay fees may result in the suspension or termination of your account.

Restricting Your Account

Your money’s safety matters to us, and so does the security of our platform. We may temporarily restrict your ability to make payments from your account or use your EverTry Card if we reasonably believe your account may be at risk of unauthorized use, fraud, or other security concerns.

We may also block your account or EverTry Card to comply with legal obligations. When possible, we will notify you through the EverTry app before we take action, or as soon as reasonably possible afterward, and explain the reason unless doing so would compromise security or be unlawful.

Suspending or Closing Your Account

In exceptional circumstances, we may suspend or close your account immediately and end your access to our app or website. Exceptional circumstances include:

1. Suspected fraudulent activity on your account.
2. Failure to provide accurate information when requested by our representatives or us;
3. Serious or repeated breaches of these Card Terms that you have not corrected after notice;
4. Activities that could harm EverTry, our systems, or our services;
5. Actions that could damage EverTry’s reputation or goodwill;
6. Failure to repay amounts you owe us within a reasonable time;
7. If you are declared bankrupt, or
8. When required by law, regulation, court order, or official instruction.

We may also suspend or close your account for other reasons. We will notify you through the EverTry app before taking such action wherever possible.

EverTry’s Intellectual Property

You acknowledge that EverTry, including its app, website, content, text, graphics, logos, images, and all related copyrights, trademarks, logos, product names, and service names (collectively, the “EverTry Intellectual Property”), is owned exclusively by EVERTRY LTD.

You may only view and retain copies of pages or content for your personal, non-commercial use. You agree not to display, use, copy, reproduce, modify, or distribute any EverTry Intellectual Property without our prior written permission.

You also agree not to:

1. Use any robot, spider, scraper, or other automated device to access or interact with our services;
2. Remove, alter, or obscure any copyright, trademark, or other proprietary notice displayed in our app, website, or content;
3. Infringe on EverTry’s or any third party’s intellectual property rights, including copyrights, patents, trademarks, trade secrets, or rights of publicity or privacy.

All rights not expressly granted to you remain the exclusive property of EverTry Ltd.

Privacy

Your use of EverTry's Services is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. Please review our Privacy Policy for more details.

Prohibited Activities

You agree not to use our Services for any illegal or unauthorized purposes. Prohibited activities include, but are not limited to, fraud, money laundering, and any actions that violate applicable laws and regulations.

Termination of Services

EverTry reserves the right to terminate or suspend your access to our Services at our discretion, without notice, for any reason, including violation of these Terms.

Platform Usage License

We hereby grant you a non-assignable, non-exclusive, and revocable license to utilize the software integrated into our services, subject to the terms set forth herein. This license encompasses all updates, upgrades, new iterations, and substitute software for you to employ in conjunction with our services.

It's essential to recognize that our services are safeguarded by copyright, trademark, and other applicable laws, both in Nigeria and internationally. Please be aware that these Terms do not confer upon you any rights to employ the name "EverTry" or any of EverTry’s trademarks, logos, domain names, or other distinct brand attributes. The complete ownership, title, and interest in and to our services shall unequivocally remain the exclusive property of EverTry and its licensors.

Failure to comply with any of the stipulations outlined herein may result in liability for any subsequent damages incurred by you, EverTry, or any third parties involved. Unless otherwise mandated by relevant laws, you pledge not to modify, redesign, replicate, adapt, exhibit, distribute, translate, disassemble, reverse engineer, or endeavor to construct any source code derived from the software.

Furthermore, any feedback, comments, or suggestions that you choose to provide concerning our services is entirely voluntary. Rest assured that we are at liberty to utilize such feedback, comments, or suggestions as we deem appropriate, without incurring any obligation to you.

Indemnification

You agree to indemnify EverTry and promise to protect EverTry, its employees, and associates from any losses, damages, costs, liabilities, and expenses (including reasonable legal fees and expenses) that may arise due to your violation of any terms within these Terms. This also includes any claims asserting your breach of these Terms. You commit to indemnify and shield EverTry from any claims, legal actions, or proceedings initiated against EverTry concerning violations of intellectual property or other rights of third parties associated with your use of the Services.

Limitation of Liability

EverTry is not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of our Services, even if we have been advised of the possibility of such damages.

Changes to Terms

We may update these Terms from time to time. It is your responsibility to review these Terms periodically for changes. Your continued use of our Services after any modifications indicates your acceptance of the updated Terms.

Disclaimers

Our services are provided on an “as is” and “as available” basis, without any warranties or guarantees of any kind.

EverTry does not guarantee:

1. The availability or uninterrupted operation of our services;
2. The accuracy or completeness of any cryptocurrency-related information;
3. The success or outcome of any cryptocurrency transactions.
4. The security or reliability of third-party services.

By using EverTry, you acknowledge and accept these limitations.

User Responsibilities

You agree to:

1. Comply with all applicable laws and regulations
2. Provide accurate and complete information when using our services
3. Maintain the security of your account and credentials
4. Accept all risks associated with cryptocurrency transactions

General

These Terms, as established by EverTry, take precedence over and replace all prior agreements, whether written or spoken, between you and EverTry concerning their subject matter. Should any of these Terms be deemed invalid or unenforceable, that specific provision will be adjusted or removed to the minimum extent required, while the remaining provisions of these Terms will continue to hold full force. Please note that EverTry's failure to enforce any right or provision within these Terms will not be interpreted as a waiver of said right or provision.
